1. Acceptance of Terms

By accessing or using the NOLA platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform. NOLA reserves the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Be a resident of the Kingdom of Saudi Arabia or an eligible international investor as permitted by applicable regulations
• Successfully complete our Know Your Customer (KYC) and Anti-Money Laundering (AML) verification process
• Not be a person or entity subject to sanctions or restricted from participating in financial services

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. NOLA reserves the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

4. Fractional Real Estate Investment

The Platform facilitates the fractionalization and trading of real estate assets. By participating in fractional investments, you acknowledge and agree that:

• Digital shares represent fractional ownership interests in real estate assets and are subject to the terms of each specific offering
• Real estate investments carry inherent risks, including potential loss of capital, illiquidness, and market fluctuations
• Past performance does not guarantee future results
• Investment values may fluctuate and are not guaranteed by NOLA or any third party
• All investments are subject to the regulatory framework of the Real Estate General Authority (REGA) Regulatory Sandbox

5. Fees & Charges

NOLA may charge fees for transactions, account services, and other Platform activities. All applicable fees will be disclosed before you complete a transaction. NOLA reserves the right to modify its fee structure with prior notice to users. You are responsible for any taxes or duties applicable to your transactions.

6. Prohibited Activities

You agree not to engage in any of the following:

• Using the Platform for money laundering, terrorist financing, or any illegal activity
• Providing false or misleading information during registration or transactions
• Attempting to manipulate investment prices or engage in market manipulation
• Unauthorized access to other users' accounts or Platform systems
• Reverse engineering, decompiling, or attempting to extract the source code of the Platform
• Using automated systems (bots, scrapers) to access the Platform without prior written consent

7. Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform are owned by NOLA or its licensors. You may not reproduce, distribute, modify, or create derivative works from any Platform content without prior written permission from NOLA.

8. Limitation of Liability

To the maximum extent permitted by law, NOLA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or investment value. NOLA's total liability shall not exceed the fees paid by you to NOLA in the twelve (12) months preceding the claim.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. NOLA does not warrant that the Platform will be uninterrupted, error-free, or secure. NOLA does not provide investment, legal, or tax advice. You should consult qualified professionals before making investment decisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless NOLA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or relating to these Terms or the Platform shall be resolved through the competent courts in Riyadh, Saudi Arabia, unless otherwise required by applicable regulations.

12. Termination

NOLA may suspend or terminate your access to the Platform at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall remain in effect.
