1. Regulatory Framework

NOLA operates under the Real Estate General Authority (REGA) Regulatory Sandbox in the Kingdom of Saudi Arabia. Our activities are conducted in compliance with the regulations and guidelines established by REGA and other relevant Saudi regulatory bodies, including the Capital Market Authority (CMA) where applicable.

2. Nature of Digital Shares

Digital shares issued on the NOLA platform represent fractional ownership interests in real estate assets. These shares:

  • Are not deposits and are not insured by any government agency
  • Are not securities unless explicitly classified as such by the CMA
  • Do not guarantee returns or appreciation in value
  • Are subject to the specific terms and conditions of each investment offering
  • May be subject to transfer restrictions as required by applicable regulations

3. Risk Disclosures

Investing in fractional real estate involves significant risks. Potential investors should carefully consider the following:

  • Real estate values may decline, and you could lose part or all of your investment
  • Digital shares may have limited liquidity, and you may not be able to sell your shares when desired
  • Rental income and returns are not guaranteed and depend on market conditions and property performance
  • Regulatory changes could affect the value, transferability, or legality of shares
  • Technology risks including smart contract vulnerabilities, platform downtime, or cybersecurity threats
  • Currency and economic risks related to market conditions in Saudi Arabia

4. KYC/AML Compliance

NOLA is committed to full compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations in the Kingdom of Saudi Arabia. All users must complete identity verification before participating in any investment activity. We reserve the right to refuse service, freeze accounts, or report suspicious activity to the relevant authorities as required by law.

5. Strategic Alliances & Partnerships

NOLA maintains strategic alliances with the following entities:

  • Wamid (Tadawul Innovation) — Technology and innovation partnership for capital market infrastructure
  • Real Estate General Authority (REGA) — Regulatory oversight and sandbox authorization
  • National Land Registry (RER) — Property verification and title deed validation

6. Sharia Compliance

NOLA is committed to ensuring all investment products and operations comply with Sharia principles. Our fractional real estate offerings are structured to avoid interest-based (riba) transactions. Revenue is generated through property ownership, rental income, and capital appreciation. A Sharia advisory board reviews and approves all offerings before they are made available on the platform.

7. Investor Suitability

Fractional real estate investments may not be suitable for all investors. Before investing, you should:

  • Assess whether the investment aligns with your financial goals and risk tolerance
  • Understand that past performance does not guarantee future results
  • Consult with qualified financial, legal, and tax advisors
  • Only invest amounts you can afford to lose without impacting your financial wellbeing
  • Review all offering documents and disclosures for each specific investment opportunity

8. Conflict of Interest

NOLA may have interests that conflict with those of investors. We are committed to transparency and will disclose any material conflicts of interest related to specific offerings. Our fee structure is disclosed upfront, and we do not receive undisclosed compensation from property owners or third parties in connection with offerings on the platform.

9. Regulatory Sandbox Limitations

As a participant in the REGA Regulatory Sandbox, NOLA operates under specific conditions and limitations set by REGA. These may include restrictions on the number of investors, total investment amounts, types of properties eligible for fractionalization, and geographic limitations. These conditions are subject to change as the regulatory framework evolves.

10. Reporting & Transparency

NOLA is committed to providing regular reporting on property performance, share valuations, and platform operations. Investors will receive periodic statements and updates on their holdings. Material events affecting fractionalized properties will be communicated promptly through the platform and registered communication channels.
